GDM Ambassador Program – Terms of Use

This document governs participation in the GDM Ambassador Program. It is a separate agreement from the Gaviso Master Terms of Use and applies only to approved Ambassadors.

These Terms govern your participation in the GDM Ambassador Program (“Program”) operated by Gaviso Digital Marketing, LLC (“GDM,” “we,” or “us”). By enrolling in the Program, you (“Ambassador,” “you,” or “your”) agree to the following terms.

1. Program Overview. The GDM Ambassador Program is a referral-based initiative that rewards individuals who introduce prospective clients to GDM’s services. You are not required to manage or close the sale. Once you refer a lead, our team will handle the consultation, onboarding, and delivery.

2. Commission Structure. Ambassadors are eligible to receive a one-time commission based on the referred client’s first invoice, as follows:

  • 15% for subscription-based services, including:
    • GDM Studio
    • Gaviso CXA
    • KineticCloud Hosting (Managed & Shared)
  • 10% for one-time services, including:
    • Branding Packages
    • Website Design
    • Brand Audits
    • Marketing Strategy Projects

No recurring commissions are paid beyond the first invoice.

3. Referral Attribution & Eligibility

3.1 Attribution Window. Referrals are tracked using unique links or form submissions. Attribution is based on first-click or first-form submission and remains valid for 90 days from the date of first contact.

3.2 Qualified Leads. To be eligible for commission:

  • The referral must be a new client to GDM.
  • The lead must use your unique referral link or be clearly identifiable as your referral.
  • The referred client must pay their invoice in full.

3.3 Disqualified Referrals. You will not receive commission for:

  • Clients you manage directly
  • Leads already in contact with GDM prior to your referral
  • Referrals with unpaid, refunded, or canceled invoices
  • Self-referrals or referrals from the same business entity as the Ambassador

4. Ambassador Responsibilities

4.1 Permitted Activities. You are authorized to:

  • Promote GDM’s services to your network
  • Share your referral link through email, social media, or private conversations
  • Use approved marketing materials provided by GDM

4.2 Prohibited Activities. You may not:

  • Misrepresent GDM’s services
  • Guarantee outcomes or pricing
  • Use GDM branding in paid ads without written consent
  • Represent yourself as an employee, agent, or representative of GDM

5. Client Relationship Post-Referral. Once a referred lead becomes a client:

  • GDM assumes full responsibility for the relationship.
  • Ambassadors may not act as client liaisons, service intermediaries, or post-sale representatives.
  • No further commissions are paid beyond the first invoice.

6. Payout Terms

6.1 Payment Process. The commission is issued within 30 days of the referred client’s first paid invoice.

6.2 Payment Method. Payouts are made via PayPal or ACH transfer. You must provide accurate payment details and a completed W-9 (if required).

6.3 Minimum Threshold. The minimum payout threshold is $25 USD. Amounts below this threshold will accrue until the minimum is met.

7. Marketing Resources and Dashboard Access. As an Ambassador, you will receive:

  • A private dashboard to track clicks, leads, and commissions
  • Swipe files and approved messaging
  • Optional co-branded landing pages upon request

8. Termination and Program Changes. GDM reserves the right to:

  • Terminate your participation at any time for misuse or breach
  • Modify program terms, commission structure, or eligibility criteria
  • Discontinue the program entirely with or without notice

Ambassadors will be notified in writing of any material changes.

9. Independent Contractor Status. You agree that your role is that of an independent contractor. Nothing in this agreement creates a partnership, employment, or agency relationship. You have no authority to bind GDM in any capacity.

10. Governing Law. These Terms shall be governed by the laws of the State of California, without regard to conflict of law principles. Any disputes shall be resolved exclusively in the state or federal courts located in Los Angeles County, California.
